PiercingMetal Hits It’s 14th Anniversary (2005-2019)

Please allow me to take a sidebar to the regular programming but I wanted to let you know that today is the day that my PiercingMetal.com website was officially launched some fourteen years ago. Now I’ve been at this sort of creative enterprise for just over sixteen years in full, but the PiercingMetal outlets birthday is today when we went public with its existence. If you click the photo below you’ll be taken to some thoughts about the process and the anniversary along with some statistical ramblings. 2019 finds “The Chronicles” making some serious strides as well, and if I didn’t start PiercingMetal.com I would have never been compelled to start this one up. If you have enjoyed that site as well, please click through and of course “Thank You So Much”.

As usual with this sort of traffic redirection; the means to add a comment has been disabled on this post and instead I encourage that comments be left on the post on the other site if you are compelled to do so. I’ve also listed all of the PiercingMetal Social Networks for you to peruse if you’d like to see what we are doing with them. This past year we dumped the unused MySpace and the pretty barren Vero True Social and began using both Tumblr and LinkedIn more for content feeds. Google+ ended a few days ago so thank you for your service G+.

ReedPOP Issues A Statement For New York Comic Con Fans

Readers of both this AND my PiercingMetal.com websites know that we just love hitting the New York Comic Con. I started attending back in 2010 and keep the posts to the PM side of the fence when it comes to posting our narratives and images for the general public. With “The Chronicles”, I’ve begun to add more of the announcements about the event to this side based on the overall busy that is our regular posting regimen over there. That said, we just received an announcement from their Event Director with some news about some changes that will be happening for this years convention. Take a look down below.

BroadwayCon Announces Details and Pre-Sales For 2020 Event

BroadwayCon celebrates its fifth year in 2020, returning to the New York Hilton Midtown on Friday, January 24 through Sunday, January 26. Tickets go on sale to the public at 1 PM ET on April 19, 2019. Returning attendees of BroadwayCon 2019 will have special pre-sale access beginning Wednesday, April 17, 2019 at 1 PM ET.

Since 2016, BroadwayCon has been the premiere fan convention for all things Broadway. Acquisition Complete: The Walt Disney Company Now Owns 21st Century Fox

The Press Release:
The Walt Disney Company (NYSE:DIS) and Twenty-First Century Fox, Inc. (“21CF”) (NASDAQ: TFCFA, TFCF), in connection with Disney’s acquisition of 21CF (the “Acquisition”), announced today that the per share value of the Merger Consideration (as defined below) has been calculated in accordance with the Merger Agreement (as defined below) to be $51.572626 (the “Per Share Value”. See footnote1). The Acquisition will become effective at 12:02 a.m. Eastern Time tomorrow, March 20, 2019.

At the effective time of the Acquisition, each share of 21CF common stock will be exchanged for $51.572626 in cash (the “Cash Consideration”) or 0.4517 shares of common stock of TWDC Holdco 613 Corp., the holding company that will own both Disney and 21CF following the Acquisition (“New Disney”) (the “Stock Consideration”, and together with the Cash Consideration, the ”Merger Consideration”), subject to election, proration and adjustment procedures set forth in the Amended and Restated Agreement and Plan of Merger(the “Merger Agreement”), dated as of June 20, 2018, by and among 21CF, Disney, New Disney, and certain of Disney’s other subsidiaries. The number of shares of New Disney common stock comprising the Stock Consideration was determined by dividing the Per Share Value by $114.1801, which was the volume weighted average trading price of a share of Disney common stock on the New York Stock Exchange over the fifteen consecutive trading day period ending on (and including) March 15, 2019.
